Terms of Service

The conditions under which Labtronics Design Ltd provides electronics design and consultancy services.

Introduction

These Terms of Service ("Terms") govern your use of the Labtronics Design Ltd website and any services provided by Labtronics Design Ltd ("Labtronics", "we", "us") to its clients ("you", "Client").

By engaging our services or using this website, you agree to these Terms. If you do not agree, please do not use this website or proceed with an engagement.

Where a separate, signed Statement of Work (SOW) or Service Agreement exists between Labtronics and a Client, that document takes precedence over these Terms in the event of any conflict.

Our services

Labtronics provides electronics consultancy services including but not limited to:

  • Printed Circuit Board (PCB) design and layout

  • Embedded firmware and software development

  • IoT device design and prototyping

  • Medical wearable and MedTech product development

  • Minimum Viable Product (MVP) development

  • Design for Manufacture (DFM) and Design for Test (DFT) reviews

  • Technical consulting, architecture review, and advisory services

All services are subject to a signed proposal or Statement of Work agreed in writing between Labtronics and the Client prior to commencement.

Scope creep is the single most common cause of project delays. We encourage clients to raise any new requirements promptly so they can be assessed and planned properly.

Client responsibilities

Timely delivery of project materials is the Client's responsibility. Delays caused by late supply of required information, approvals, or materials may result in revised timelines and/or additional costs.

How we use your data

Proposals

All proposals issued by Labtronics are valid for 30 days from the date of issue unless otherwise stated. A proposal does not constitute a binding contract until accepted in writing by the Client.

Project commencement

Work will commence once Labtronics has received: (a) written acceptance of the proposal; and (b) the agreed deposit payment (where applicable).

Scope changes

Any changes to the agreed project scope must be requested in writing. Labtronics will assess the impact on timeline and cost and issue a Change Order. Work on the change will begin only after written approval.

Payment terms

  • Invoices are issued in accordance with the agreed payment schedule set out in the proposal or SOW.

  • Payment is due within 14 days of the invoice date unless otherwise agreed in writing.

  • Late payment — overdue invoices accrue interest at 8% per annum above the Bank of England base rate, in line with the Late Payment of Commercial Debts (Interest) Act 1998.

  • Non-payment — Labtronics reserves the right to suspend work and withhold deliverables until outstanding invoices are settled.

  • Currency — all invoices are issued in GBP unless otherwise agreed in writing.

Intellectual property

Client-provided IP

Any intellectual property, know-how, specifications, or background IP provided by the Client remains the property of the Client. The Client warrants that it has the right to provide such materials and that using them does not infringe any third-party rights.

Labtronics background IP

Labtronics retains ownership of all pre-existing tools, methodologies, frameworks, libraries, and know-how developed independently of the Client engagement ("Background IP"). Nothing in these Terms transfers ownership of Background IP to the Client.

Deliverables

Upon receipt of full payment, Labtronics assigns to the Client all intellectual property rights in the specific deliverables created for the Client under the agreed scope — including PCB design files, firmware source code, and technical documentation — unless expressly agreed otherwise in the SOW.

Portfolio rights

Unless the Client requests confidentiality in writing, Labtronics reserves the right to reference the engagement and include anonymised or high-level project details in its portfolio and marketing materials.

Confidentiality

Both parties agree to keep confidential all non-public, proprietary, or sensitive information disclosed in the course of the engagement ("Confidential Information"). This obligation remains in force for a period of 5 years following the conclusion of the engagement.

Labtronics is willing to sign a mutual Non-Disclosure Agreement (NDA) prior to any detailed technical discussions. Please request this via info@labtronics.design.

Confidentiality obligations do not apply to information that: (a) is or becomes publicly known through no breach by either party; (b) was already known to the receiving party without restriction; or (c) is required to be disclosed by law or court order.

Limitation of liability

To the fullest extent permitted by law:

  • Labtronics' total liability to the Client under or in connection with any engagement shall not exceed the total fees paid by the Client for the specific project giving rise to the claim.

  • Labtronics is not liable for any indirect, consequential, incidental, or special loss or damage, including but not limited to loss of profit, revenue, data, or business opportunity.

  • Labtronics is not liable for defects or failures arising from: (a) modifications made by the Client or third parties without Labtronics' approval; (b) use outside the intended specification; or (c) third-party components or software.

Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.

Warranties

Labtronics warrants that:

  • Services will be performed with reasonable skill and care by appropriately qualified personnel.

  • Deliverables will conform to the agreed specification set out in the proposal or SOW.

Labtronics does not warrant that deliverables will be free from all errors or that hardware designs will achieve regulatory approval, as this depends on factors outside our control including the Client's product specifications and applicable standards.

Termination

Termination for convenience

Either party may terminate an engagement by providing 30 days' written notice. The Client will be invoiced for all work completed and reasonable costs incurred up to the termination date.

Termination for cause

Either party may terminate immediately on written notice if the other party: (a) materially breaches these Terms and fails to remedy the breach within 14 days of notice; or (b) becomes insolvent or enters administration.

Effect of termination

On termination, all outstanding invoices become immediately due. Labtronics will provide the Client with all completed deliverables and work-in-progress materials upon receipt of full payment.

You may use this website for lawful purposes only. You must not:

  • Use the site in any way that violates applicable local, national, or international law.

  • Transmit any unsolicited commercial communications or spam.

  • Attempt to gain unauthorised access to any part of the site or its related systems.

  • Reproduce, copy, or distribute any content from this website without our written permission.

This website may contain links to third-party websites. We are not responsible for the content or privacy practices of those sites.

Labtronics reserves the right to modify or withdraw this website at any time without notice.

For projects involving safety-critical or medical applications, additional agreements regarding regulatory responsibilities will be documented in the SOW.

Governing law & disputes

These Terms and any disputes arising from them are governed by the laws of England and Wales. Both parties submit to the exclusive jurisdiction of the courts of England and Wales.

Before commencing formal proceedings, both parties agree to attempt to resolve any dispute through good-faith negotiation for a period of not less than 30 days.
